23. TERMINATION 合同的终止
The Purchaser may at its option at any time, regardless of force majeure events, terminate the Contract in whole or in part by giving ten (10) days prior notice to the Vendor in writing. Upon receipt of such a notice, the Vendor shall promptly discontinue any further performance of work or the relevant part thereof, except as may be necessary to protect the work completed to date or as may be requested by the Purchaser.
无论是否遭遇不可抗力事件，买方可以选择在任何时候，提前10天以书面通知卖方终止整体或部分合同。一旦接到通知，卖方应即刻停止一切相关部分的生产工作；除非继续的操作是为了保护已完成的作业或是应买方的请求。
Upon such termination, the Vendor shall, upon the Purchaser’s request, turn over to the Purchaser any or all of the work, all drawings, specifications, data sheets, and other matters that the Vendor may have prepared for the Goods and all materials, supplies and equipment paid for by the Purchaser either directly or indirectly, and the Purchaser shall have the right to make use of same for such purposes as the Purchaser may desire.
合同终止后，卖方应将任何或所有的作业、全部图纸、规格、数据表和为了生产‘货物’所准备的其他物件全部交付予买方，包括买方直接或间接已付款的所有材料、供应品及设备；买方有权任意使用上述物品作其他用途。
In the event of termination, the Purchaser’s liability will be only to pay the Vendor for the work actually performed based upon an equitable percentage, to be agreed upon by the parties hereto, of the contract price related thereto, it being understood that in determining the aforesaid payment, any loss of anticipated profits to the Vendor in respect of work not yet performed shall not be compensated. From the total payment agreed as aforesaid, there shall be deducted all claims by the Purchaser against the Vendor, including claims on account of defects in engineering, procurement, construction, materials and/or workmanship.
如果合同被终止，买方应负的责任只是向卖方支付实际已完成的作业，根据合同价款双方洽商同意一个公平的比例进行计算。在决定前述的支付款项时，双方都理解，卖方尚未执行作业的预期收益将不获得补偿。买方向卖方索要的赔偿，包括因为工程、采购、建设、材料和/或工艺方面缺陷的索赔，将会从前述的总支付款里扣除。
